These Terms and Conditions (“Terms”) govern your engagement with Adasight B.V. (“Adasight,” “we,” “our,” or “us”) for services delivered under the Adasight Flex subscription model and related offerings. By engaging with our services through our platform or any other authorized channel, you agree to be bound by the following terms:
- Scope of Service
The services provided under the Adasight Flex model are intended to support teams with flexible access to analytics expertise and delivery capacity. Service delivery is defined in the offering section and may evolve over time. Adasight reserves the right to improve or update the service structure and delivery format to ensure quality and consistency.
- Client Responsibilities
Clients are expected to:
- Provide clear, timely information and context for requests or tasks.
- Participate in communication channels (e.g., Slack, Jira) to enable efficient collaboration.
- Respect fair use of the communication channels to ensure high-quality service for all clients.
Failure to provide timely feedback or input may impact service timelines or outcomes.
- Communication and Availability
Support and collaboration will be facilitated through digital channels such as Slack, Jira, and video calls. Adasight maintains service level commitments as outlined in the offering. Clients agree to use these channels in good faith and with reasonable expectations for responsiveness.
- Intellectual Property & Usage
All materials provided by Adasight—including but not limited to documentation, templates, deliverables, training materials, and analysis—are the intellectual property of Adasight B.V. Clients receive a non-exclusive, non-transferable license to use these materials for internal business purposes only. Redistribution or public use requires prior written consent.
- Confidentiality
Both parties agree to treat any exchanged confidential information with the utmost care and to use it only for the purposes of delivering or receiving services. This obligation shall survive termination of the engagement.
- Termination
Clients may cancel their subscription at any time. Upon termination, access to services and platforms will be revoked at the end of the active billing period. Any outstanding tasks already agreed upon will be completed, unless otherwise mutually agreed.
Adasight reserves the right to suspend or terminate services if the client violates these Terms or engages in abusive or unethical conduct.
- Limitation of Liability
While Adasight makes every effort to ensure high-quality support and delivery, we do not guarantee specific business outcomes. In no event shall Adasight B.V. be liable for indirect, incidental, special, or consequential damages, including but not limited to lost revenue, loss of data, or operational downtime.
- Feedback and Continuous Improvement
We value constructive feedback. Clients may be asked to participate in satisfaction surveys or provide testimonials. Participation is voluntary and always subject to approval before any public use.
- Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam.
